The first public offering was in 1979 when 1,500,000 common shares
were sold @ Cdn $10.50. The second public offering was in 1980 when 750,000 common shares were sold @ Cdn $23.625. The third public offering was in 1981 when 3,800,000 common shares were sold. 900,000 shares in Canada @ Cdn $42.25 and 2,900,000 shares in the United States @ US $35.25. Fourth Public Offering (1984) - First offering of preferred shares was in the prospectus dated January 31, 1984 - price per share was Cdn $42.50 The fifth was in 1998 when 8,000,000 common shares were sold @ Cdn $21.50 per share (in Canada only). Sixth Public Offering (August 2007) - Convertible Debentures issue to finance the acquisition of Legerity Holdings, Inc. Convertible Debentures - To help finance the acquisition of Legerity Holdings, Inc. Zarlink issued 75,000 convertible debentures on August 3rd, 2007 and an additional 3,750 debentures on August 29th, 2007 at a price of Cdn $1,000 per debenture. The debenture matures on September 30, 2012. The following are the highlights of the terms and conditions of the convertible debentures. Each debenture pays 6% annual interest (paid semi-annually) on December 31st and June 30th of each year. The debentures are convertible into common stock at the option of the holder at any time with certain restrictions. Each debenture will convert into 408.2 common shares of the Company. The Company may redeem the debentures after September 30, 2011 at the principal amount where the Market price of Common shares of the Company is not less than 125% of the Conversion price (Cdn $2.45). | |

quarterly at a rate of Cdn $2.00 per share per annum. Redemption: The shares are currently redeemable, at the option of the Company, at Cdn $25.00 per share plus accrued dividends. Purchase Obligation: The Company is required to make reasonable efforts to purchase 22,400 shares in each quarter at a price not exceeding $25.00 per share plus costs of purchase. | |
